These Terms of Service (“Terms”) constitute an agreement between Digitech Solutions (“DigiTech”, “we”, “us”, or “our”) and any organization, business, or individual that registers for, purchases, accesses, or uses DigiTech products and services (“Customer”, “you”, or “your”).

By creating an account, selecting “I Agree”, signing or confirming a Quotation, Order Form, Agreement, making payment, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

Acceptance of these Terms by electronic means shall have legal effect in accordance with applicable laws on electronic transactions and other relevant laws and regulations.

ARTICLE 2. DEFINITIONS

2.1. “Services”

Means one or more software products, platforms, artificial intelligence solutions, implementation services, integrations, consulting services, or training services provided by DigiTech.

2.2. “DigiTech Platform”

Means all or part of DigiTech's software and technology solution ecosystem, including but not limited to:

  • DigiAI Platform;
  • DigiAI Marketing;
  • DigiCRM & OmniAI;
  • DigiBotAI;
  • DigiEcom;
  • DigiWork;
  • DigiAIEdu;
  • DigiiMan;
  • DigiVisionAgent;
  • AI Agent;
  • AI Analytics;
  • Other products, modules, APIs, and technology solutions provided by DigiTech from time to time.

2.3. “Account”

Means an account created or provided to the Customer or an Authorized User for accessing the Services.

2.4. “Authorized User”

Means an employee, contractor, representative, or other individual authorized by the Customer to use the Services.

2.5. “Service Plan”

Means the right to use one or more features of the Services within the scope, quantity, duration, and usage limits specified in a price list, Quotation, Order Form, Agreement, or other applicable document.

2.6. “Customer Data”

Means data, documents, content, images, videos, information, files, Leads, CRM data, or other data entered, uploaded, connected, or created by the Customer or Authorized Users in connection with the Services.

2.7. “AI Input”

Means data, instructions, prompts, documents, images, or other information provided to artificial intelligence features.

2.8. “AI Output”

Means content, analysis, forecasts, recommendations, responses, or other results generated or assisted by an artificial intelligence system.

2.9. “Third-Party Services”

Means products or services not owned by DigiTech but integrated with or used in connection with the Services, such as cloud services, AI models, Facebook, Zalo, Google, TikTok, email, SMS, ZNS, payment gateways, ERP systems, or other APIs.

ARTICLE 3. SCOPE OF SERVICES

DigiTech provides the following categories of Services depending on the applicable Service Plan or specific agreement with the Customer.

3.1. AI Marketing and Marketing Automation

May include:

  • AI-assisted content creation;
  • SEO/GEO content;
  • Multi-channel content management and publishing;
  • Marketing Automation;
  • Lead generation and collection;
  • Lead nurturing;
  • Email/ZNS;
  • Reporting and AI Analytics;
  • Advertising management support where separately agreed.

3.2. CRM, Sales, and Omnichannel

May include:

  • Lead collection from multiple channels;
  • Customer 360;
  • Lead, Contact, Opportunity, and Deal management;
  • Sales pipeline management;
  • Lead assignment and customer care;
  • Interaction history tracking;
  • Reporting and data analytics.

3.3. AI Chatbot and Customer Service

May include:

  • AI Chatbot;
  • AI Agent;
  • Website Chat;
  • Facebook Messenger;
  • Zalo OA;
  • Webchat/Livechat;
  • Email/ZNS;
  • Knowledge Base;
  • Conversation handoff to human agents.

3.4. E-commerce and Sales

May include:

  • E-commerce websites;
  • Product management;
  • Order management;
  • Inventory management;
  • Online and offline sales;
  • Promotions;
  • CRM & Customer Service;
  • Payments and delivery through third-party providers;
  • AI-assisted sales and product recommendations.

3.5. DigiWork and Business Operations

May include:

  • Employee records;
  • Department management;
  • Attendance management;
  • Task management;
  • Project management;
  • Workflow management;
  • Timesheets;
  • KPI management;
  • Performance reporting;
  • Internal documents and processes;
  • AI-assisted operational and performance analytics.

3.6. DigiAIEdu and Training

May include:

  • Learning Management System (LMS);
  • Courses;
  • Training programs;
  • Learner management;
  • E-learning content;
  • Assessments;
  • Certificates of completion;
  • AI-assisted learning and training;
  • Workshops, webinars, coaching, and consulting.

3.7. DigiiMan – Warranty and Maintenance

May include:

  • Equipment management;
  • Electronic warranty management;
  • QR Codes;
  • Repair request management;
  • Technician assignment;
  • Maintenance tracking;
  • Reporting;
  • AI-assisted incident analysis.

3.8. DigiVisionAgent and AI Camera

May include:

  • Computer Vision;
  • Image/video analysis;
  • Object recognition;
  • Product recognition;
  • Display monitoring;
  • Attendance or authentication;
  • Operational activity analysis;
  • Alerts and AI Analytics.

3.9. AI for Manufacturing, Warehousing, and Logistics

May include:

  • Inbound, outbound, and inventory monitoring;
  • Goods monitoring;
  • Warehouse activity analysis;
  • Manufacturing monitoring;
  • Anomaly detection;
  • Operational data analytics;
  • Maintenance and optimization support.

3.10. Integration and Professional Services

May include:

  • APIs;
  • System integration;
  • Software customization;
  • Software development;
  • Data migration;
  • AI consulting;
  • Digital transformation consulting;
  • Training and enterprise implementation.

Not all features described on DigiTech websites, brochures, presentation slides, demonstrations, or marketing materials are included in every Service Plan.

The scope of Services that DigiTech is obligated to provide to each Customer shall be determined by the applicable Quotation, Order Form, Agreement, or other document confirmed by both parties.

ARTICLE 4. REGISTRATION, ACTIVATION, AND ACCOUNTS

4.1. Service Activation

The Services shall be considered activated upon the occurrence of any of the following:

  • DigiTech creates or delivers an Account;
  • The Customer completes self-registration and verification;
  • The Services are delivered by DigiTech under an Agreement;
  • Any other activation date specified in a Quotation or Agreement.

4.2. Registration Information

The Customer is responsible for providing complete, accurate, and up-to-date information. DigiTech may request verification where necessary for security or legal compliance purposes.

4.3. Account Security

The Customer is responsible for:

  • Maintaining the confidentiality of usernames and passwords;
  • Managing Authorized User accounts;
  • Protecting API keys, access tokens, and authentication credentials;
  • Applying appropriate access permissions;
  • Revoking access for persons who are no longer authorized to use the Services.

The Customer must promptly notify DigiTech if it discovers or reasonably suspects unauthorized access to an Account.

ARTICLE 5. RIGHT TO USE THE SERVICES

Upon satisfying the requirements of the applicable Service Plan, DigiTech grants the Customer a limited, non-exclusive, and non-transferable right to access and use the Services for the Customer's lawful business activities.

Payment of Service fees does not transfer ownership of DigiTech software, source code, algorithms, AI models, or intellectual property to the Customer.

The Customer shall not:

  • Make unauthorized copies of the software;
  • Reverse engineer or attempt to obtain the source code;
  • Circumvent security mechanisms;
  • Access data that the Customer is not authorized to access;
  • Resell the Services without DigiTech's prior authorization;
  • Provide access to unauthorized third parties;
  • Use the Services to develop competing products by copying DigiTech's intellectual property.

ARTICLE 6. SERVICE FEES, TAXES, AND PAYMENT

6.1. Service Fees

Fees may include one or more of the following:

  • Monthly or annual subscription fees;
  • Implementation fees;
  • Setup fees;
  • Customization fees;
  • Per-user fees;
  • AI/token usage fees;
  • API usage fees;
  • Storage fees;
  • Camera or connected device fees;
  • Integration fees;
  • Training fees;
  • Support fees;
  • Third-party service fees.

Specific fees shall be determined by the applicable price list, Quotation, Order Form, or Agreement.

6.2. Taxes

Taxes and other financial obligations shall be applied in accordance with applicable law at the time they arise. Unless the applicable commercial document expressly states that taxes are included, prices may exclude value-added tax and other applicable taxes or charges.

6.3. Payment

The Customer must make full and timely payment using the payment method specified in the applicable Quotation, Agreement, invoice, or payment system.

6.4. Renewal

Services may be renewed monthly, annually, or for another agreed term.

Where automatic renewal applies, the relevant renewal mechanism shall be disclosed during registration or in the applicable commercial documentation.

6.5. Price Changes

DigiTech may adjust prices for future Service periods. Prices for periods already prepaid by the Customer shall not be changed, unless otherwise required by law or agreed in the applicable Agreement.

ARTICLE 7. REFUNDS

Unless otherwise provided in an Agreement, Quotation, or specific Service policy, fees corresponding to Services already provided, activated, or resources already allocated are not automatically refundable.

DigiTech may issue a refund or credit where:

  • A duplicate payment has been recorded;
  • DigiTech is unable to provide the Services it has committed to provide;
  • The parties otherwise agree;
  • Applicable law requires a refund.

Courses, workshops, events, or implementation projects may be subject to separate cancellation and refund policies.

Any mandatory consumer rights under applicable law, where applicable, shall not be restricted by these Terms.

ARTICLE 8. PROHIBITED USE

The Customer shall not use the Services to:

  • Violate applicable law;
  • Commit fraud or deception;
  • Infringe intellectual property rights;
  • Violate privacy or personal data rights;
  • Send spam or unlawful content;
  • Distribute malware;
  • Attack or disrupt systems;
  • Collect data unlawfully;
  • Impersonate another person or organization;
  • Conduct unlawful surveillance;
  • Create or distribute content prohibited by law;
  • Use AI for activities prohibited by law;
  • Intentionally circumvent usage limits or security controls.

DigiTech may implement technical measures necessary to prevent conduct that threatens the security or stability of the system or other users.

ARTICLE 9. CUSTOMER DATA

9.1. Rights to Customer Data

The Customer retains ownership or other lawful rights in Customer Data. Storage of Customer Data on DigiTech systems does not transfer ownership of the Customer's business data to DigiTech.

9.2. DigiTech's Right to Process Data

The Customer authorizes DigiTech to process Customer Data to the extent necessary to:

  • Provide the Services;
  • Store data;
  • Synchronize data;
  • Perform backups;
  • Perform functions requested by the Customer;
  • Provide technical support;
  • Detect errors or fraud;
  • Protect system security;
  • Comply with legal obligations.

9.3. Responsibility for Data Sources

The Customer represents that it has the lawful right to collect, provide, and instruct DigiTech to process Customer Data.

DigiTech does not automatically verify that data entered by the Customer into CRM, chatbots, AI systems, DigiWork, DigiVisionAgent, or other systems has been lawfully collected.

ARTICLE 10. PERSONAL DATA AND PRIVACY

DigiTech processes personal data in accordance with applicable Vietnamese law and DigiTech's Privacy Policy.

Depending on the relevant processing activity, DigiTech may act in an appropriate role as defined under applicable personal data protection laws.

Where the Customer provides personal data relating to:

  • Customers;
  • Leads;
  • Employees;
  • Learners;
  • Partners;
  • Suppliers;
  • Other users;

the Customer is responsible for ensuring that it has a lawful basis for collecting and processing such personal data.

Where appropriate, DigiTech and the Customer may enter into a separate Data Processing Agreement (DPA).

DigiTech applies appropriate technical and organizational measures to protect personal data against unauthorized access, use, disclosure, alteration, or destruction.

ARTICLE 11. ARTIFICIAL INTELLIGENCE

11.1. Nature of AI

Certain DigiTech features use artificial intelligence to:

  • Create content;
  • Answer questions;
  • Analyze information;
  • Classify information;
  • Summarize content;
  • Generate forecasts;
  • Provide recommendations;
  • Perform recognition tasks;
  • Automate workflows;
  • Support decision-making.

11.2. Accuracy

Due to the nature of AI technology, AI Output may:

  • Be inaccurate;
  • Be incomplete;
  • Be inappropriate for a particular context;
  • Contain bias or errors;
  • Vary between different executions.

DigiTech does not guarantee that AI Output will always be completely accurate.

11.3. Customer Review

The Customer is responsible for reviewing AI Output before:

  • Publishing it;
  • Sending it to customers;
  • Using it to make business decisions;
  • Taking automated actions based on it;
  • Using it for decisions that materially affect individuals.

11.4. Human-in-the-Loop

For decisions that may materially affect an individual's rights or interests, the Customer must apply appropriate human oversight or review where required by law, the nature of the use case, or the level of risk involved.

Such cases may include:

  • Recruitment;
  • Employee evaluation;
  • Employment disciplinary decisions;
  • Identity authentication;
  • Customer rights or benefits;
  • Safety-related decisions;
  • Decisions having significant legal effects.

11.5. Data Provided to AI

The Customer shall not provide AI systems with data that it does not have the lawful right to use or process.

11.6. No Guarantee of Business Results

DigiTech does not guarantee that the use of AI will automatically generate:

  • Revenue;
  • Leads;
  • Orders;
  • ROAS;
  • SEO rankings;
  • KPI achievements;
  • Productivity improvements;
  • Any specific business result.

ARTICLE 12. CRM, MARKETING, AND CHATBOTS

The Customer is responsible for the legality of:

  • Customer lists;
  • Leads;
  • Advertising content;
  • Marketing content;
  • Email/SMS/ZNS communications;
  • CRM data;
  • Knowledge Base content;
  • Chatbot content.

The Customer is responsible for reviewing AI-generated content before using it in business operations where appropriate.

DigiTech shall not be responsible where an advertising platform or social network rejects, restricts, suspends, or disables Customer content or accounts because the Customer's conduct or content violates that platform's policies.

ARTICLE 13. E-COMMERCE AND CUSTOMER TRANSACTIONS

Unless otherwise agreed, DigiTech acts as a technology provider and is not the seller of the Customer's goods or services.

The Customer is responsible for:

  • Products;
  • Pricing;
  • Inventory;
  • Invoices;
  • Taxes;
  • Promotions;
  • Delivery;
  • Payments;
  • Returns;
  • Warranties;
  • Product information;
  • Buyer complaints.

DigiEcom's integration with a payment gateway, e-commerce marketplace, or delivery provider does not make DigiTech the provider of those third-party services.

ARTICLE 14. DIGIWORK, HUMAN RESOURCES, AND PERFORMANCE EVALUATION

DigiWork may collect, aggregate, or analyze information such as:

  • Working time;
  • Attendance;
  • Tasks;
  • KPIs;
  • Progress;
  • Performance;
  • Projects.

Such analytics and AI Output are intended as business management support tools.

The Customer is responsible for how such data is used in making decisions relating to employees.

AI Output should not be used as the sole basis for decisions materially affecting employee rights or interests without appropriate review by an authorized person.

ARTICLE 15. AI CAMERA AND COMPUTER VISION

Where DigiVisionAgent or AI Camera features are used, the Customer is responsible for:

  • Having the lawful right to install or operate cameras;
  • Providing required notices;
  • Establishing an appropriate legal basis for data processing;
  • Controlling access;
  • Determining appropriate retention periods;
  • Complying with requirements relating to personal and sensitive personal data where applicable.

Where facial recognition or biometric data technologies are used, the Customer must comply with any additional requirements imposed by applicable law.

Computer Vision results may contain false positives, false negatives, or other errors due to image quality, lighting, camera position, environmental conditions, or other factors.

The Customer should not treat automated recognition results as conclusive evidence without appropriate verification.

ARTICLE 16. THIRD-PARTY SERVICES AND PLATFORMS

DigiTech Services may connect to third-party providers such as:

  • Facebook/Meta;
  • Zalo;
  • TikTok;
  • Google;
  • Microsoft;
  • Cloud service providers;
  • AI model providers;
  • Email services;
  • SMS/ZNS services;
  • Payment gateways;
  • ERP systems;
  • Other APIs.

The Customer agrees to comply with the terms and policies of any third-party platform it chooses to use.

DigiTech does not control whether a third party:

  • Changes its API;
  • Changes its policies;
  • Changes its pricing;
  • Restricts features;
  • Discontinues services;
  • Suspends or restricts accounts.

DigiTech will use reasonable efforts to adjust integrations where changes made by third parties materially affect the Services.

ARTICLE 17. INTELLECTUAL PROPERTY RIGHTS

DigiTech or its licensors retain all lawful rights in:

  • Software;
  • Source code;
  • APIs;
  • System architecture;
  • Algorithms;
  • Models;
  • Workflows;
  • Templates;
  • Designs;
  • Documentation;
  • Training content;
  • Logos;
  • Trademarks;
  • Improvements to the Services.

The Customer retains its rights in documents, data, logos, content, and other intellectual property provided by the Customer.

For custom-developed products, ownership and usage rights shall be determined by the applicable Agreement or Statement of Work (SOW).

ARTICLE 18. RIGHTS AND OBLIGATIONS OF DIGITECH

18.1. DigiTech has the right to:

  • Collect Service fees;
  • Manage and operate the system;
  • Upgrade or improve the Services;
  • Apply limitations associated with the Service Plan;
  • Suspend Services in accordance with these Terms;
  • Require the Customer to remedy violations;
  • Use technical, statistical, aggregated, or lawfully anonymized data to improve products;
  • Exercise other rights under applicable Agreements and laws.

18.2. DigiTech shall:

  • Provide the Services within the agreed scope;
  • Maintain reasonable technical conditions;
  • Provide support according to the applicable Service Plan;
  • Protect Customer Data within the scope of DigiTech's responsibilities;
  • Address incidents within DigiTech's scope of responsibility;
  • Perform other obligations under applicable Agreements and laws.

DigiTech will not use identifiable Customer Data to train general-purpose AI models used for other customers unless there is an appropriate legal basis, Customer authorization, or another agreement with the Customer.

ARTICLE 19. RIGHTS AND OBLIGATIONS OF THE CUSTOMER

19.1. The Customer has the right to:

  • Use the Services within the purchased scope;
  • Access data to which it is entitled;
  • Request support;
  • Request data export where supported by the Services;
  • Submit complaints or feedback concerning Service quality;
  • Exercise other rights under applicable Agreements and laws.

19.2. The Customer shall:

  • Make timely payments;
  • Use the Services within the permitted scope;
  • Protect account credentials;
  • Be responsible for Authorized Users;
  • Ensure the lawful use of data;
  • Comply with applicable laws;
  • Review AI Output where appropriate;
  • Cooperate with DigiTech in the event of an incident;
  • Not infringe DigiTech's intellectual property rights.

ARTICLE 20. SUPPORT, MAINTENANCE, AND UPGRADES

DigiTech may provide:

  • User documentation;
  • Knowledge Base resources;
  • Email support;
  • Hotline support;
  • Online support;
  • Other technical support according to the Service Plan.

DigiTech will use reasonable efforts to maintain continuous availability of the Services, but interruptions may occur due to:

  • Maintenance;
  • Upgrades;
  • Backups;
  • Error correction;
  • Security incidents;
  • Infrastructure failures;
  • Third-party service failures.

For planned maintenance that materially affects the system, DigiTech will use reasonable efforts to provide prior notice to the Customer.

In emergencies involving security or system safety, maintenance may be performed immediately.

If the parties have entered into a separate Service Level Agreement (SLA), response times, resolution times, and uptime commitments shall be governed by that SLA.

ARTICLE 21. INFORMATION SECURITY AND CYBERSECURITY INCIDENTS

Security incidents may include:

  • Unexplained data loss;
  • Unauthorized modification of data;
  • Unexpected system outages;
  • Suspected unauthorized account access;
  • Suspected cyberattacks;
  • Unauthorized access to data.

Upon discovering a security incident, the Customer should notify DigiTech promptly through:

DigiTech will:

  • Receive the incident report;
  • Verify the incident;
  • Contain the incident;
  • Investigate its cause;
  • Implement appropriate remediation measures;
  • Provide notifications where required by applicable law.

The Customer must reasonably cooperate and provide information required for DigiTech's investigation and remediation efforts.

ARTICLE 22. SUSPENSION OF SERVICES

DigiTech may suspend all or part of the Services where:

  • The Customer fails to make payment when due;
  • The Customer violates these Terms;
  • There is suspected fraud;
  • There is a risk to system security;
  • The Services are used unlawfully;
  • DigiTech receives a lawful request from a competent authority;
  • Emergency maintenance is required.

In non-emergency situations, DigiTech will use reasonable efforts to notify the Customer and provide a reasonable opportunity to remedy the violation.

ARTICLE 23. TERMINATION OF SERVICES

The Customer may terminate the Services in accordance with the applicable Service Plan or Agreement.

DigiTech may terminate the Services where:

  • The Customer materially violates these Terms;
  • The Customer fails to remedy a violation within a reasonable period after receiving notice;
  • The Services are used for unlawful activities;
  • DigiTech is required to terminate the Services by applicable law.

Upon termination:

  • Access rights may be disabled;
  • Accrued fees remain payable;
  • Confidentiality, intellectual property, and accrued liability obligations shall survive where appropriate.

ARTICLE 24. DATA EXPORT, RETENTION, AND DELETION

The Customer should export any required data before the Services are terminated.

Following termination, DigiTech may retain data for a reasonable period for purposes including:

  • Allowing the Customer to retrieve its data;
  • Maintaining backups;
  • Resolving disputes;
  • Complying with legal obligations.

After the applicable retention period, data may be:

  • Deleted;
  • Overwritten;
  • Anonymized;
  • Otherwise processed in accordance with DigiTech's data retention policies.

DigiTech is not obligated to retain Customer Data indefinitely after termination of the Services.

ARTICLE 25. SERVICE COMMITMENTS AND DISCLAIMERS

DigiTech will use reasonable efforts to provide the Services professionally and in accordance with the agreed scope.

However, unless expressly provided in an Agreement or SLA, DigiTech does not guarantee that:

  • The Services will never be interrupted;
  • The software will be completely error-free;
  • All errors will be resolved immediately;
  • AI Output will always be accurate;
  • The Services will satisfy requirements that have not been specifically agreed;
  • Third-Party Services will remain continuously available;
  • Use of the Services will produce any specific business outcome.

The Customer is responsible for determining whether the Services are suitable for its intended purposes.

ARTICLE 26. LIMITATION OF LIABILITY

To the extent permitted by law, DigiTech shall be responsible for direct damages caused by DigiTech's breach of its obligations.

Unless otherwise provided in an Agreement or prohibited by applicable law, DigiTech shall not be liable for:

  • Loss of anticipated profits;
  • Loss of business opportunities;
  • Reputational damage;
  • Indirect or consequential damages;
  • Losses caused by inaccurate Customer Data;
  • Consequences arising from decisions made solely on the basis of AI Output without reasonable review;
  • Failures of Third-Party Services outside DigiTech's reasonable control;
  • Violations arising from the Customer's unlawful use of the Services.

For business Customers, unless otherwise provided in an Agreement or prohibited by applicable law, DigiTech's total financial liability arising from a Service shall not exceed the total fees actually paid by the Customer for the affected Service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited.

ARTICLE 27. INDEMNIFICATION

To the extent permitted by law, the Customer shall be responsible for third-party claims arising directly from:

  • Data or content that the Customer does not have the right to use;
  • Unlawful use of the Services;
  • Infringement of third-party intellectual property rights;
  • Unlawful collection or processing of data;
  • Acts of Authorized Users for whom the Customer is responsible.

Each party shall remain responsible for violations within its reasonable control.

ARTICLE 28. FORCE MAJEURE

Neither party shall be deemed in breach of its obligations due to events beyond its reasonable control, including but not limited to:

  • Natural disasters;
  • Fire;
  • Epidemics or pandemics;
  • War;
  • Large-scale power outages;
  • Large-scale Internet outages;
  • Telecommunications infrastructure failures;
  • Acts of government authorities;
  • Other force majeure events recognized under applicable law.

The affected party shall use reasonable efforts to mitigate the effects of the force majeure event.

ARTICLE 29. CHANGES TO SERVICES AND TERMS

DigiTech may update its products in order to:

  • Improve functionality;
  • Enhance security;
  • Modify the user interface;
  • Change AI models;
  • Modify APIs;
  • Comply with legal requirements.

DigiTech may also update these Terms.

The “Last Updated” date will be displayed at the beginning of these Terms.

If a change materially affects the rights or obligations of a Customer currently using paid Services, DigiTech will provide appropriate notice before the change takes effect, unless earlier implementation is required for legal compliance or security reasons.

ARTICLE 30. ORDER OF PRECEDENCE

If multiple documents govern the same Services, the following order of precedence shall apply unless otherwise agreed:

  1. Agreement signed by both parties;
  2. Appendix or Statement of Work (SOW);
  3. Confirmed Quotation or Order Form;
  4. Applicable SLA or DPA;
  5. These Terms of Service;
  6. Privacy Policy and other specialized policies.

A specialized document shall take precedence with respect to the specific matter governed by that document.

ARTICLE 31. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of Vietnam.

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation.

If the dispute cannot be resolved within 30 days from the date one party provides written notice of the dispute to the other party, the dispute shall be resolved in accordance with the dispute resolution mechanism specified in the applicable Agreement or by a competent authority under Vietnamese law.

Where the Customer qualifies as a consumer, any mandatory rights and dispute resolution mechanisms available under applicable consumer protection laws shall remain unaffected.

ARTICLE 32. GENERAL PROVISIONS

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

A party's failure or delay in exercising any right shall not constitute a waiver of that right.

The Customer may not assign or transfer its rights to use the Services or any Agreement to a third party without DigiTech's prior consent, unless otherwise permitted by law or the applicable Agreement.

The provisions relating to:

  • Confidentiality;
  • Data;
  • Intellectual property;
  • Payment;
  • Liability;
  • Dispute resolution;

shall survive termination of the Services to the extent necessary to give effect to those provisions.

By registering for, confirming, paying for, or using DigiTech Solutions Services, the Customer acknowledges that it has read, understood, and agreed to comply with these Terms of Service.
